Terms of Service

These terms are an agreement between you and Mind At Ease Solutions ("Trade Circle," "we," "us"), operator of Trade Circle, a networking and business platform for trade contractors. By creating an account or using Trade Circle, you agree to these terms and to the Privacy Policy.

1. Accounts

• You must be at least 18 years old and provide accurate information when you register.
• You are responsible for your account, your password, and everything that happens under your account. Tell us promptly at [email protected] if you suspect unauthorized use.
• One account per person or business. Do not impersonate another person or business.

2. What Trade Circle is — and is not

Trade Circle provides profiles, portfolios, lead and job tools, a contractor marketplace, and community features. Trade Circle is a platform, not a contractor: we do not perform trade work, do not employ the contractors on the platform, and do not guarantee any contractor's work, licensing, or insurance. Listing, badges, and reviews are information provided by members and customers; verify credentials before hiring, as you would anywhere.

3. Acceptable use

You agree not to:

• Post false, misleading, or infringing content, including reviews you did not earn or work you did not perform.
• Spam members or customers, scrape the platform, or attempt to bypass security, rate limits, or plan limits.
• Upload content you do not have the right to use, or content that is unlawful, harassing, or harmful.
• Use Trade Circle to send messages or post videos in violation of the rules of the receiving service (including YouTube's terms, when using the YouTube integration).
• Interfere with the operation of the service or other members' use of it.

We may remove content or suspend accounts that violate these terms.

4. Your content — you keep your rights

• Ownership. Everything you upload — business information, photos, and videos — remains yours. Posting content on Trade Circle does not transfer ownership to us.
• License to us. You grant Trade Circle a non-exclusive license to host, display, and distribute your content as the service requires and as you direct: showing your portfolio on your profile, delivering your content to customers and members you share it with, and — only when you connect YouTube and confirm a specific video — uploading that video to your own YouTube channel. This license ends for content you delete, except where copies must be retained for billing, security, or legal records.
• Your responsibility. You are responsible for your content, including having the rights and permissions (for example, from customers whose property appears in a video) to post it.

The YouTube integration specifically

• Connecting YouTube is optional and done through Google's consent screen; the permissions granted and how to revoke them are described in the Privacy Policy.
• A video is uploaded to your channel only after you confirm that video with its title, description, and visibility. Once posted, the video lives on YouTube under your account and YouTube's terms; Trade Circle does not control it afterward.
• You are responsible for your channel's compliance with YouTube's Terms of Service and Community Guidelines for anything posted through Trade Circle at your direction.

5. Leads, jobs, and other members

Trade Circle connects contractors, suppliers, and customers but is not a party to agreements between them. Quotes, prices, schedules, payments for work, warranties, and disputes about work performed are between the parties involved. Marketplace and handoff features are tools; using them does not make Trade Circle your agent, partner, employer, or guarantor.

6. Plans and payments

• Trade Circle offers free and paid plans (currently "Starter" and "Full"). Plan features, limits (including message and text limits), and prices are shown in the app and may change with notice.
• Paid plans are billed through Stripe on a subscription basis until cancelled. You may cancel at any time in the app; cancellation takes effect at the end of the current billing period, and fees already paid are not refundable except where the law requires or we state otherwise in the app.
• Taxes may apply and are calculated at checkout where required.

7. Availability and changes

We work to keep Trade Circle up and reliable, but the service is provided "as is" without warranties of any kind, express or implied, including fitness for a particular purpose. We may change, add, or retire features; material changes to these terms will be posted with a new date at the top, and continued use after a change means you accept the updated terms.

8. Liability

To the maximum extent permitted by law: Trade Circle's total liability for any claim arising from the service is limited to the amount you paid Trade Circle in the twelve months before the claim (or $100 if you are on the free plan, whichever framework the law allows). Neither party is liable for indirect, incidental, or consequential damages, including lost profits or lost business, except where such limits are not permitted by law.

Nothing in these terms limits liability that cannot legally be limited.

9. Termination

• You may close your account at any time in the app or by contacting us.
• We may suspend or terminate accounts that violate these terms, create risk for other members, or remain unpaid on a paid plan after notice.
• On termination, your public profile is removed. Content you posted to your own YouTube channel is unaffected — it is yours, on your channel. Records we must keep for billing, security, or legal reasons survive as described in the Privacy Policy.

10. Governing law and disputes

These terms are governed by the laws of Texas, without regard to conflict-of-law rules. Disputes will be resolved in the state or federal courts located in Tarrant County, Texas, unless the law gives you the right to another forum.
